Position Overview
Reporting to the Chair of the ALERT Board of Directors or their designate(s), the ALERT Board Managing Director is responsible for providing strategic board governance leadership and executive-level support to the ALERT Board of Directors.
This part-time, two-year contract position focuses on strengthening ALERT’s governance framework through the drafting, modernization, and implementation of Board policies, governance instruments, and oversight mechanisms. The Managing Director will play a central role in reviewing and redrafting governance documents, clarifying authorities and accountabilities, and ensuring alignment with best practices in public sector governance within a Part 9 company.
The Managing Director also serves as the principal governance advisor to the Board, supporting disciplined decision-making, structured policy development, and the implementation of recommendations arising from governance reviews. This role ensures that Board processes, committee structures, reporting frameworks, and oversight practices are clearly defined, documented, and operationalized.
Most of the work will be performed remotely, subject to operational requirements.
Reporting
This position will be constituted as a consultant contractor with the ALERT Board. For the purpose of reporting, contract management will occur with the ALERT Board of Directors. An annual performance assessment will be conducted by the Chair of the Board with input from the Directors.

The Managing Director will
· Lead the comprehensive review and redrafting of ALERT’s governance framework, including bylaws, Terms of Reference, committee mandates, and Board policies.
· Develop and formalize governance policies related to decision-making authority, executive oversight, financial controls, and accountability mechanisms.
· Establish structured processes for policy approval, monitoring, and periodic review.
· Support the implementation of governance recommendations arising from external reviews.
· Strengthen documentation standards, Board reporting protocols, and records management practices.
· Enhance alignment of the Board through clear role definition and reporting pathways.
· Provide governance guidance to ensure compliance with statutory and regulatory requirements.
· Work collaboratively and respectfully with ALERT Corporate to form a proper governance relationship between the Board and the CEO.
· Coordinate and manage Board meetings, including agenda development, preparation of Board materials, meeting logistics, audiovisual and catering arrangements, and follow-up on action items and deliverables.
Desired skills and attributes
The ideal candidate will demonstrate
· Extensive experience in governance reform, policy drafting, and Board-level advisory roles.
· Strong knowledge of public sector governance frameworks and best practices.
· Demonstrated ability to draft clear, structured governance instruments and policy documents.
· Experience working with Boards comprised of senior executives and public officials.
· Exceptional judgment, discretion, and political acuity.

- * This position has an established salary range: placement within the range is determined by experience and qualifications. It is expected that this is a part-time position and will average 80 hours per month. The successful candidate will be required to submit to and pass a police security screening process.
